UltraFIX Legal
Terms & Conditions
Service arrangements, cancellation and your legal rights.
1. Scope and eligibility
Welcome to UltraFIX. These Terms govern the UltraFIX connectivity service. References to "we", "us" and "our" mean the legal provider of UltraFIX.
These Terms apply to an UltraFIX service order when they are provided to you and incorporated into that order before the contract is concluded. They cover consumers and business customers. A consumer is an individual acting outside their trade, business or profession.
This website is informational. It does not provide an online purchase or registration process. Browsing it or sending an enquiry does not create a subscription or an obligation to pay.
You must have the legal capacity to enter into the contract. If you order for a business or another person, you must be authorised to act for them. Mandatory consumer protections prevail over any conflicting provision in these Terms.
2. Services and technical scope
We provide technical connectivity services delivered online on a subscription basis (the "Services"). The Service consists of the connection and associated functionality expressly agreed for your order.
The supported protocols and versions, interfaces, access limits and any separately agreed features are described in the information provided before your order. A reference to research or development on this website does not mean that a feature or protocol is currently supported or included in your subscription.
You decide how to use the connection and remain responsible for your own activities and compliance with applicable law. This does not limit our responsibility for providing the agreed Service or our mandatory legal duties. Changes to an ongoing Service are subject to section 10.
Any data or information provided with the Service is for education, research, data analysis and software testing only, for non professional and non commercial use.
3. Order information and contract formation
Before you commit to an order, we provide the main characteristics of the Service, its total recurring charge and applicable taxes, billing period, expected start time, cancellation arrangements and these Terms.
You must be able to review and correct your order details before submitting a binding order. A contract is concluded when payment for the order is confirmed, following provision and acceptance of the relevant order information and these Terms.
You order through an individual payment link: you review the order summary on the payment page, can correct your details there before paying, accept these Terms and confirm payment.
The contract is concluded in English. We store the contract electronically and email you an order confirmation with these Terms before the Service starts. If you need another copy, contact us.
Specific terms expressly agreed for your order prevail over these general Terms, except where mandatory law provides otherwise. A material change of scope requires agreement; a research description on the website does not itself change your contract.
You must provide complete, accurate, truthful and up to date information needed to process your order, provide the Service and issue the required billing documents. This includes your name or business name, contact email, billing address and any business or tax identification details required for your order. This obligation also applies to information submitted through a payment provider. You must be authorised to use the payment method and to provide any information relating to another person or business. Tell us promptly if relevant information changes.
If necessary information is missing, materially inconsistent or reasonably appears incorrect, we may defer activation and ask you to correct or clarify it. We request only information reasonably necessary for the order, billing, payment security or legal compliance. Where appropriate, we explain what is needed and give you a reasonable opportunity to respond. This does not transfer our own legal obligations to you.
If the issue is not resolved within the reasonable period notified to you, or proceeding would be unlawful, we may decline an order that has not yet been accepted or end an existing contract to the extent permitted by law. If no Service has been provided, we refund the amount paid for that Service. If performance has already begun, we refund the amount attributable to the prepaid period not provided, without limiting any further refund or remedy required by law. A refund is not subject to an administrative penalty for correcting or missing billing information.
4. Access, delivery and early start
Access credentials and connection instructions are sent to the email address supplied for your order. Once payment is confirmed, the information necessary for your order is complete and any required express request for early performance is received, activation generally takes a few hours. Processing times depend on when the order is received; orders placed overnight may take longer. These usual processing times are estimates. We process activation requests without undue delay. Any activation time expressly agreed for your order will apply. Contact us promptly if access has not arrived by an agreed time or appears delayed.
Consumers: when ordering, you expressly request that the Service starts immediately, during the 14 day withdrawal period. If you then withdraw, you pay only for the days provided. The order confirmation is sent before the Service starts.
If you request early performance, we explain the effect on the amount payable if you later withdraw. Starting an ongoing subscription does not by itself remove your withdrawal right.
Keep access credentials confidential, protect them against unauthorised use and allow access only to users or systems authorised within your order. Do not publish, transfer or share credentials outside that scope without our prior written permission. Tell us promptly at [email protected] if credentials are lost, disclosed or reasonably suspected to be compromised, or if you notice unauthorised access. Do not include credentials in your message. Cooperate reasonably with measures to secure the connection, including replacement of compromised credentials.
You are responsible for activity you authorise and for loss or misuse to the extent caused by your breach of these security obligations. You are not automatically responsible for every unauthorised access, and these obligations do not transfer responsibility for a failure on our part to you.
5. Fees, payment and price changes
The final fee, currency, applicable taxes, billing period and any additional charge are disclosed before you order. This informational website does not publish a price list. A monthly subscription is charged for one monthly billing period at a time. Your own internet or communication provider may apply its usual charges.
Payments are handled by payment service providers. We do not receive or store your full payment card details or card security code. If payment fails, we may notify you and suspend further access while the amount remains unpaid, subject to mandatory law. Suspension does not cancel a valid cancellation or withdrawal request.
At our discretion and subject to applicable law, we may offer discount codes, coupons, introductory bonuses or individually negotiated commercial terms to all customers, selected groups or individual customers. We are not obliged to offer the same promotion or conditions to every customer. A benefit offered to one customer does not by itself give another customer a right to that benefit or establish an entitlement to future promotions.
The applicable offer specifies its eligibility conditions, validity period, redemption or usage limits, the benefit provided and whether it applies only to the initial payment or also to specified renewal periods. Unless the offer expressly allows it, promotions cannot be combined. Before you become bound, we disclose the final amount due, how long any introductory benefit lasts and the amount and currency of subsequent recurring payments. We may introduce, change or withdraw offers prospectively at our discretion, subject to any binding offer or benefit already agreed or validly obtained. A promotion is not automatically extended or renewed. Changes to an agreed ongoing price remain subject to the price change arrangements below and mandatory law.
We may also agree to accept an order in a currency other than euros, including US dollars, and may combine that arrangement with an introductory bonus or other expressly agreed benefit. Alternative currencies are available only where offered or individually agreed and supported by the relevant payment method. The final amount, billing currency, applicable taxes and any conversion applied by us are disclosed before the order is binding. A price agreed in another currency is the price specified for that order; it does not imply a fixed exchange rate or an automatic right to equivalent terms for future orders. Your bank or payment provider may separately convert the payment or apply its own disclosed charges. We do not change the agreed billing currency of an existing subscription without your agreement.
We may propose a different fee for future billing periods. For a proposed increase, we notify you by email at least five business days before the first affected renewal, allowing a longer period where required by law or reasonably necessary for you to assess the change, exercise an applicable right to reject it and arrange an alternative service. The notice identifies the new fee, the reason for the change, its effective date and your right to cancel before it applies without a cancellation penalty. The change does not alter the price of a period already paid for. Any lawful contractual basis, agreement or consent required by mandatory law must be in place before the change applies. A fee reduction or additional discount may apply sooner if it is solely to your benefit and introduces no new obligation.
6. Duration, renewal and cancellation
Unless your order expressly provides otherwise, the subscription continues for successive monthly billing periods and renews automatically until cancelled. There is no annual commitment or minimum term beyond the current paid period.
You can cancel future renewal at any time by emailing [email protected]. Identify the service and the email address used for the order. A customer portal is not required. We confirm the cancellation by email.
Ordinary cancellation takes effect at the end of the current billing period. You can continue using the Service until that time and no further renewal payment is due. Send the request before the next renewal is processed; if you believe a charge was taken after a timely cancellation, contact us.
Our right to terminate an individual subscription is set out in section 11.
Ordinary cancellation does not create a refund for the billing period already started. This does not limit statutory withdrawal, remedies for defective performance, refunds required by law or a refund we separately agree. A discretionary refund on one occasion does not establish a general refund entitlement.
7. Consumer withdrawal and refunds
If you are a consumer, you may withdraw from a distance contract within 14 days after its conclusion, without giving a reason. To exercise the right, send a clear statement to [email protected]. You may use the model below, but you do not have to. It is sufficient to send your statement before the withdrawal period expires.
If you expressly requested performance during that period and received the required information, you pay only a proportionate amount for the Service provided up to your withdrawal. For a time based subscription, that amount is calculated by reference to the agreed fee and the part of the service period supplied. We do not charge a withdrawal penalty.
If the required express request or information was missing, we do not charge for early service performance where the law prohibits doing so. If information about withdrawal was not properly provided, the statutory extension of the withdrawal period applies. Nothing in these Terms shortens that extension.
We refund any amount due without undue delay and no later than 14 days after receiving your withdrawal, using the same payment method unless you expressly agree otherwise and incur no charge. Access ends when the withdrawal takes effect.
The withdrawal period concerns the initial contract. An ordinary continuation of the same subscription does not automatically start a new period. Any new or additional withdrawal right required by mandatory law remains available.
You may use the model withdrawal form at the end of these Terms.
8. Defects, support and complaints
You retain all statutory rights if the Service is supplied late, is defective or does not meet the agreed requirements. For an ongoing digital service, these rights cover defects arising during the contractual service period. Required conformity and security updates are provided as applicable by law.
Please report service problems promptly to [email protected], with your service identifier, contact details, a description of how the problem appears, the date and approximate time it occurred, if known, and the remedy you seek. You do not have to diagnose the technical cause. Do not send passwords or full card details. A delay in reporting does not by itself remove your statutory rights.
We acknowledge a complaint in writing, record when it was made, its subject, the requested remedy and your contact details, and provide a written outcome. Digital service complaints and correction of defects are handled within a reasonable time, taking account of the nature of the Service and its purpose, without significant inconvenience to you.
As provided by law, remedies may include correction of the defect, an appropriate reduction in the fee or termination and reimbursement. The applicable conditions for those remedies remain unaffected.
Please contact us so that we can try to resolve a payment or service issue directly. This does not prevent a lawful payment dispute, complaint to an authority, court claim or exercise of any other statutory right.
9. Acceptable use and intellectual property
During your subscription you receive a nonexclusive, nontransferable right to use the agreed Service for your own lawful purposes, within the scope of your order. The software, website, brand and other protected materials remain the property of the provider or the relevant rights holders.
You must not:
- access or attempt to access systems, accounts, connections or information without authorisation;
- circumvent authentication, access controls or other security protections, or use credentials outside the scope authorised for your order;
- exploit vulnerabilities, errors or misconfigurations to obtain unauthorised access, disrupt the Service or harm the provider or another person;
- interfere with service operation, introduce harmful code, deliberately overload infrastructure or disrupt other users;
- resell, sublicense, redistribute or otherwise provide access to the Service to a third party without our prior written permission; any authorised resale remains subject to its separately agreed scope and conditions;
- exceed the authorised number of users, systems or connections;
- conduct security testing without prior written permission;
- copy, extract or reuse protected material in breach of applicable rights, or use the Service for an unlawful purpose.
Automated connections, integrations and software use within the agreed scope of your order are permitted. These restrictions do not impose a general ban on automation.
Any restriction on reverse engineering, interoperability work or other technical activity applies only to the extent permitted by mandatory law. These Terms do not remove rights that cannot legally be restricted.
10. Availability, maintenance and service changes
Low latency and connection continuity are engineering objectives. No specific latency, speed, uninterrupted availability or service level is guaranteed. Actual performance also depends on your systems, network routes and external infrastructure. These statements do not exclude agreed functionality or statutory conformity obligations.
Maintenance, security updates and adjustments may be necessary. Changes beyond those needed to maintain conformity may be made only for a valid reason identified here, such as security, compatibility with evolving technical standards, changes in external infrastructure, a legal requirement or a genuine technical improvement. Such changes must not impose an additional fee unless separately agreed.
We explain relevant changes clearly. If a change adversely affects a consumer's access or use more than insignificantly, we provide advance notice in a durable form, including the nature and timing of the change and the statutory right to terminate without charge. Where that right applies, it can be exercised within 30 days after the information or the change, whichever is later, unless the law provides an exception such as continued access to an unchanged conforming version.
11. Suspension, termination and external events
UltraFIX may terminate an individual subscription unilaterally without stating a reason, by giving at least five business days' prior notice in writing, or a longer period where reasonably necessary in the circumstances or required by applicable law. The notice will identify the effective termination date, and no further renewal payment will be taken for a period after that date. A subscription does not include a commitment to provide the Service indefinitely or for future billing periods.
If our termination takes effect before the end of a prepaid billing period, we refund the fees attributable to the period for which the Service will not be provided, calculated proportionately. This does not limit any additional refund or remedy required by applicable law.
We may restrict access where reasonably necessary to address an unpaid fee, a serious security issue, unlawful use or a material breach of the contract. For such restrictions, where appropriate, we communicate the issue and give a reasonable opportunity to remedy it. Immediate suspension or termination may be necessary for a serious threat or breach, a legal requirement or circumstances that make continued provision objectively impossible.
Restrictions must be proportionate. Statutory rights to a refund, fee reduction or termination remain available. You must stop using credentials when your access right ends.
Events outside reasonable control, including external network or power failures and acts of public authorities, may affect performance. Any relief from liability applies only within the conditions allowed by law. Such an event does not automatically remove a consumer's rights concerning undelivered or defective service.
12. Responsibilities and business customer liability
You are responsible for deciding how to use the Service, checking whether it suits your intended purpose, and complying with the rules of any third party platform, account or software you connect. We do not control those third parties or make decisions on your behalf. This allocation does not excuse our own breach of contract or mandatory duties.
The following contractual limits apply only to business customers and only where lawful. Our aggregate contractual liability is limited to the fees paid for the affected Service in the three months preceding the event giving rise to the claim. Subject to the same conditions, we are not liable for indirect loss, loss of data or business interruption.
These limits do not apply to intentional misconduct, gross negligence, injury to protected personal rights, liability that cannot be limited, or a party whose rights cannot lawfully be limited because of its weaker position. Consumer remedies and data protection rights remain unaffected.
A business customer must reimburse reasonable third party claims and necessary defence costs directly caused by its unlawful use or material breach, to the extent legally permissible. This does not cover our own fault or require payment of an unsubstantiated claim. The parties must reasonably cooperate and mitigate loss. Statutory limitation periods apply.
13. Consumer dispute resolution
If a consumer dispute cannot be resolved directly, you may seek alternative dispute resolution through the Czech Trade Inspection Authority (Česká obchodní inspekce), Central Inspectorate, ADR Department, Gorazdova 1969/24, 120 00 Praha 2, Czech Republic.
Information and submission guidance: Czech Trade Inspection Authority: alternative dispute resolution (https://coi.gov.cz/en/information-about-adr/). The authority also supervises consumer protection within its competence. Alternative dispute resolution does not remove your right to seek a judicial remedy.
14. Governing law and consumer protection
Czech law governs the contract. Business disputes are submitted to the competent courts of the Czech Republic, unless a valid individual agreement provides otherwise.
If you are a consumer, this choice does not deprive you of the mandatory protections of the law that applies in your country of habitual residence. Any consumer jurisdiction rules that apply remain unaffected. The English version is the contractual version; any mandatory language or transparency requirements prevail.
15. Updates, privacy and final provisions
The version provided for and incorporated into your order governs that order. We may update these Terms for future orders. A change to an existing subscription requires a lawful contractual basis and any consent required by law; publishing a new page alone does not amend your contract.
We may correct typographical errors and update the contact details, registered office, registration details or references to law relating to the same legal provider, provided this does not change the agreed Service, charges or either party's substantive rights and obligations. Such administrative updates do not by themselves require a new acceptance of these Terms. We keep the published information current and inform existing customers without undue delay where an update affects how they contact us, make a payment or exercise their rights. A change of the legal provider is not merely an update of contact details.
For a proposed substantive change to an ongoing subscription, we provide clear advance notice by email at least five business days before it takes effect, allowing a longer period where required by law or reasonably necessary in light of the nature and practical effect of the change, including sufficient time to arrange an alternative service where required. The notice explains the proposed wording, reason, effect and effective date, and identifies the available right to reject it or end the subscription without a penalty. A customer exercising an applicable right to end the subscription receives any refund due for the prepaid period not provided. Where the law requires express agreement, we obtain it; silence or continued use does not replace that required agreement. Mandatory rights about adverse digital service changes remain as described in section 10, and price changes remain subject to section 5.
For the notice periods in these Terms, a business day is a day other than Saturday, Sunday or a public holiday in the Czech Republic. The five business day periods above are contractual minimums, not a limit on any longer notice required by law or the circumstances. They do not delay administrative updates under this section or immediate protective action justified under section 11, and do not shorten a statutory period for exercising a right or receiving a refund.
Changes do not retroactively alter charges for a period already paid for, completed performance or rights and claims that have already arisen. We identify the date of each revised version and retain the version applicable to your contract.
If a provision is invalid, the rest applies so far as the contract can lawfully continue. A transfer of contractual rights or obligations is subject to the law and must not reduce mandatory consumer rights.
Personal data processing is explained in the Privacy Policy. Agreement to these Terms is not consent to optional personal data processing. Provider details are also available in Legal Information.
